1. Agreement to Terms


By accessing or using Jarvis AI Automation Suite ("Jarvis," "the Service," "our platform"), operated by AI Avengers ("we," "us," "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.


2. Description of Service


Jarvis is a white-labeled GoHighLevel platform that provides pre-built AI automation workflows and templates, access to our private community and support channels, weekly strategy calls and educational resources, implementation support for AI automation solutions, and sub-account management for client projects.


3. Subscription Plans and Billing

3.1 Plan Types


The Basic Plan costs $89/month and includes access to platform, templates. The Pro Plan costs $197/month and includes 10 sub-accounts + $15 per additional sub-account. Implementation Partnership pricing is custom based on revenue sharing agreements.


3.2 Billing Terms


Subscriptions are billed monthly in advance. All fees are non-refundable except as required by law. Price changes will be communicated 30 days in advance. Founder rates are locked for existing subscribers until cancellation.


3.3 Payment Processing


Payments are processed through secure third-party providers. Failed payments may result in service suspension. Users are responsible for maintaining current payment information.


4. Account Registration and Security


4.1 Account Requirements


Users must provide accurate, complete registration information. One account per person or business entity is permitted. Users must be 18+ years of age or have parental consent.


4.2 Account Security


Users are responsible for maintaining account confidentiality. You must notify us immediately of unauthorized access. We reserve the right to suspend accounts for security reasons.


5. Acceptable Use Policy

5.1 Permitted Uses


You may create and deploy AI automation solutions for legitimate business purposes, use templates and workflows for client projects, and participate in community discussions and support channels.


5.2 Prohibited Uses


Prohibited activities include spamming, phishing, or other malicious activities, violating laws or regulations, infringing on intellectual property rights, reselling or redistributing our proprietary templates without authorization, and creating competing white-label platforms using our content.


6. Intellectual Property Rights


6.1 Our Content


All workflows, templates, and educational materials remain our property. Users receive a limited license to use content for their business operations. There is no right to redistribute, resell, or create derivative white-label products.


6.2 User Content


Users retain rights to their original content and client data. We may use anonymized data for service improvement. Users grant us license to display their content within the platform.


7. Data and Privacy


7.1 Data Handling


User data is processed according to our Privacy Policy. We implement industry-standard security measures. Users are responsible for their own client data compliance.


7.2 Third-Party Integrations


The platform integrates with GoHighLevel, N8N, RetellAI, and other services. Users are subject to third-party terms for integrated services. We're not responsible for third-party service availability or data handling.


8. Account Transfer and Migration


8.1 GHL Account Transfers


We facilitate transfers from existing GoHighLevel accounts. Transfer includes workflows, funnels, and configurations. Contact data may not transfer due to privacy regulations. The process typically takes 24-48 hours.


8.2 Data Export


Users may export their data upon request. Export includes workflows, templates, and configurations. Client contact data is subject to applicable privacy laws.


9. Service Availability and Support

9.1 Service Uptime


We strive for maximum uptime but don't guarantee 100% availability. Planned maintenance will be announced in advance. We are not liable for downtime due to third-party service interruptions.


9.2 Support Channels


Support is provided through WhatsApp support group for technical assistance and weekly strategy calls for implementation guidance. Response times vary by support channel and complexity.


10. Implementation Partnership Terms


10.1 Revenue Sharing


Custom agreements are available for implementation partnerships. Typical split is 60/40 or 50/50 depending on project complexity. Partners maintain client relationships while we handle technical implementation.


10.2 Partnership Requirements


Partners must maintain professional standards. All client work is subject to our quality guidelines. Partnership agreements are separate from platform subscription.


11. Limitation of Liability


11.1 Service Limitations


Service is provided "as is" without warranties. We don't guarantee specific business results or revenue. We are not liable for client disputes or project failures.


11.2 Damage Limitations


Liability is limited to amount paid for services in preceding 12 months. We are not liable for indirect, incidental, or consequential damages. Users are responsible for backing up their data.


12. Termination


12.1 User Termination


Users may cancel subscription at any time. Cancellation prevents future billing but doesn't provide refunds. Access continues until end of current billing period.


12.2 Service Termination


We may terminate accounts for Terms violations. We will provide reasonable notice except for serious violations. Users may export data within 30 days of termination notice.


13. Modifications to Terms


Terms may be updated periodically. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance. Users who disagree with changes may terminate their account.


14. Governing Law


These Terms are governed by the laws of New York State without regard to conflict of law principles. Any disputes will be resolved through binding arbitration.
